We are seeking a Commercial & Corporate Lawyer with 3-5 years post admission experience to join a well established, medium sized team in Melbourne. You will work with clients across a wide range of industries, including technology, e-commerce, transport, logistics, and family offices. This role offers a unique opportunity to manage your own matters, collaborate with a talented team, and gain exposure to complex corporate transactions.
 You will be involved in matters including sale of businesses, share sale agreements with earn-out arrangements, complex shareholder agreements, partnership and trust structuring, employee share plans, company secretarial work, and drafting and negotiating commercial agreements. Your role will also involve advising clients on the Corporations Act, Australian Consumer Law, and PPSR regime, with a focus on providing commercially pragmatic solutions tailored to each client’s risk appetite. 
Key Responsibilities  - Draft, review, and negotiate a broad range of commercial contracts and corporate agreements
- Advise clients on corporate governance, shareholder arrangements, and regulatory compliance
- Manage client relationships independently while collaborating with senior lawyers on complex matters
- Provide clear, commercially focused advice that balances risk and opportunity
- Support business development initiatives and marketing activities where relevant
- Stay current with legislative and regulatory changes affecting corporate and commercial clients
Candidate Requirements - 3-5 years post-admission experience in commercial and corporate law
- Strong drafting and negotiation skills with a focus on practical, commercial outcomes
- Experience with corporate transactions, shareholder agreements, sale of businesses, and company secretarial matters
- Excellent communication and interpersonal skills, with the ability to build strong client relationships
- Commercially minded, results-oriented, and capable of independent problem-solving
- Interest in business development is desirable
